1. The Parties
This Organizer Service Agreement ("Agreement") is entered into between:
- Party 1 — Service Provider: Vootely Digital Platforms, operated in Ghana, with support email lovesdesigns1@gmail.com ("Vootely").
- Party 2 — Organizer: The business, entity, or individual identified in the registration form submitted on the Platform ("Organizer").
By registering on the Vootely Platform, clicking 'I Agree' during sign-up, or using the Platform in any capacity, the Organizer agrees to be bound by the terms of this Agreement.
2. Definitions
- "Platform"
- The Vootely Paid-Competition Platform, including the organizer dashboard, public event microsites, leaderboards, and related services.
- "Voter Data"
- All personal data relating to guest voters that is processed through the Platform during vote purchases, including names, email addresses, phone numbers, and transaction logs.
- "Data Controller"
- The entity that determines the purposes and means of processing personal data. Under this Agreement, the Organizer is the Data Controller of Voter Data.
- "Data Processor"
- The entity that processes personal data on behalf of the Data Controller. Under this Agreement, Vootely acts as the Data Processor of Voter Data.
- "Commission Rate"
- The platform commission percentage agreed for a specific paid competition event and deducted by Vootely from the gross amount of vote purchases.
3. Scope of Services
Vootely agrees to provide the Organizer with access to the Platform for the purpose of hosting, publishing, and managing paid voting competitions in Ghana. Vootely will use commercially reasonable efforts to maintain Platform availability of 99.9% uptime, excluding planned maintenance.
4. Data Processing Addendum (DPA)
The Organizer is the Data Controller of all Voter Data collected and processed through the Platform for their specific competitions. Vootely acts as the Data Processor, processing Voter Data solely on the documented instructions of the Organizer for the purpose of delivering the voting services. This relationship complies with the Data Protection Act 2012 (Act 843) of Ghana.
4.1 Organizer Obligations
- Comply with Act 843 in all publicity and nominee data uploads.
- Ensure all nominees have explicitly consented to their names, bios, and photos being published on public event microsites.
- Promptly handle all data subject rights requests received from nominees or voters.
4.2 Vootely Obligations
- Process Voter Data only on the instructions of the Organizer.
- Ensure all personnel who access database records are bound by confidentiality.
- Implement technical security measures in accordance with the Cybersecurity Act 2020 (Act 1038).

6. Fraud Prevention
The Organizer agrees to take all reasonable steps to prevent fraudulent voting, cooperating with Vootely administrators to investigate suspicious transaction volumes. Vootely reserves the right to suspend any competition and freeze organizer wallets if credible evidence of fraud or unauthorized card usage is identified.
7. Suspension and Termination
Either Party may terminate this Agreement on 30 days' written notice. Vootely may suspend or terminate this Agreement immediately without prior notice if the Organizer commits a material breach, engages in fraudulent behaviors, or violates the Cyber Security regulations of Ghana.
8. Governing Law & Dispute Resolution
This Agreement is governed by the laws of the Republic of Ghana. Any dispute arising out of this Agreement that cannot be resolved amicably within 30 days shall be subject to the exclusive jurisdiction of the courts of Ghana.
