1. Agreement to These Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Vootely ("Vootely", "we", "us", "our") governing your use of the Vootely Voting & Competition Platform ("Platform") and all related services available at our website.
By registering for an organizer account, clicking 'I Agree', or using the Platform in any capacity (including purchasing votes as a guest voter), you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Platform.
These Terms apply to two categories of users:
- Organizers: Businesses, organizations, or individuals who use the Platform to host, configure, and manage paid voting competitions.
- Voters: Public users who visit event microsites to purchase packages of votes for nominees.
2. Description of the Vootely Service
Vootely provides a digital paid-competition platform. The Platform enables organizers to create public voting competitions, manage nominees, and configure vote prices (in GHS), and allows voters to purchase packages of votes for nominees using Paystack (Mobile Money & Card networks).
Vootely is a technology service operator. Vootely is not a bank, financial institution, or licensed depository. The funds held in organizer wallets represent collected competition revenues less the commission rate agreed for that event, awaiting payout processing under this agreement.
3. Organizer Accounts and Obligations
3.1 Eligibility and Registration
To register as an organizer on the Platform, you must be at least 18 years of age, be legally authorized to operate a competition in your jurisdiction, and provide accurate details during registration.
3.2 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.3 Organizer Obligations
You agree to comply with Ghana's Data Protection Act 2012 (Act 843) as the data controller of your competition and nominees, and you warrant that your competitions are genuine, legally authorized, and do not manipulate transaction records.
3.4 Platform Fees & Commission Model
Vootely operates on a commission-based fee structure. Each paid competition receives a commission percentage set by Vootely before the event can be published. The remaining balance from each successful vote purchase is credited to the organizer's wallet ledger, and payouts remain subject to admin review and ledger-backed posting.
4. Voter Terms and Conditions
Strict Finality & Non-Refundability of Vote Purchases
Votes purchased on the Vootely Platform are immediately applied to the selected nominee and updated on the real-time public leaderboard. Because the service is rendered instantaneously:
- All transactions are final and 100% non-refundable.
- Votes have no secondary cash/monetary value and cannot be exchanged, reversed, or transferred.
Voters must not attempt to bypass payment gateways or introduce automated scripts to manipulate vote tallies. Suspicious or fraudulent checkout attempts will result in the immediate cancellation of related votes and potential reporting to payment providers.
5. Prohibited Conduct
You must not use the Vootely Platform to:
- Record false or fabricated payments to inflate vote tallies.
- Interfere with the performance of the HTMX leaderboards or platform infrastructure.
- Access other organizers' dashboard statistics without explicit authorization.
- Attempt to reverse engineer, copy, or replicate any part of the Vootely software.
- Use the Platform in connection with any illegal lotteries, gambling, or unregulated raffles.
6. Intellectual Property
The Vootely Platform, including all software, design assets, logos, trademarks, content, and documentation, is the exclusive intellectual property of Vootely (supported by developer partner Love's Designs) and is protected by Ghanaian and international intellectual property laws.
7. Service Uptime & Performance
Vootely targets a 99.9% uptime for public event microsites. Vootely is not liable for any losses, missed votes, or visual lag during periods of telecom network outages, Paystack gateway downtime, or external network failures.
8. Limitation of Liability
To the maximum extent permitted by the laws of Ghana, Vootely's total aggregate liability to an organizer shall not exceed the total platform commission retained by Vootely from the organizer's competition in the 3-month period immediately preceding the event giving rise to the claim. Vootely is not liable for any indirect, special, incidental, consequential, or punitive losses.
9. Suspension or Termination
Vootely reserves the right to suspend or terminate any organizer account or close active public competitions immediately and without prior notice if the organizer materially breaches these Terms, if Vootely has credible evidence of fraudulent transaction entries, or if the activities pose a risk to the security, integrity, or reputation of the Platform.
Any suspected financial fraud or system exploitation will be reported to the Economic and Organized Crime Office (EOCO) and the Ghana Police Service.
10. Governing Law & Jurisdiction
These Terms are governed by and shall be construed in accordance with the laws of the Republic of Ghana. Any dispute arising out of or in connection with these Terms that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of Ghana.
